Acceptance of this Order Constitutes an Agreement to the Following:

Quality - The Seller warrants that all materials covered by this order conform to the blueprints, specifications, samples, or instructions issued in connection herewith and that such materials are of first class material and workmanship, free from defects and suitable for the purpose intended.

Inspection - All materials covered by this order are subject to the Buyer’s inspection and approval and any that are not in exact accordance with the order, including the blueprints, herewith, may be rejected. The Buyer’s rights of inspection and rejection are retained notwithstanding prior payment to obtain cash discount. Seller shall provide, as directed by the buyer, test specimen for approval, verification, investigation or auditing.

Inspection System Requirements - The Supplier shall have developed and maintained an inspection system in compliance with AS9100 (latest revision), or as otherwise approved by Buyer. The inspection system shall be verifiable by Seller providing to Buyer a copy of their current certification, or by approved completed Buyer’s survey.

Notification of Changes - Seller shall notify Buyer of any changes in product and/or process, approvals, suppliers, or in location of manufacturing facility. Seller will also flow down these requirements to their supply chain as necessary, including any customer requirements (such as ASL, etc.).

Notification of Non-Conforming Product - Seller shall promptly notify Buyer when nonconforming product has been shipped. The notification shall include part numbers, traceability, ship dates, quantities and description of the nonconformance.

Prevention of Counterfeit Parts- Supplier shall plan, implement and control processes for the prevention of counterfeit or suspect counterfeit parts. Seller shall notify Buyer when counterfeit of suspect counterfeit parts have shipped.

Retention of Documents - Seller shall maintain records of Manufacturing and traceability of material used in the fabrication of the parts, sub-assemblies or assemblies produced in fulfillment of this purchase order. These records shall be maintained by the Seller for a period of eleven (11) years after completion of the purchase order and shall be made available for review by authorized Buyer personnel, upon written request. After the retention period, the records will be either destroyed or returned to Flexco.

Disposition of Rejected Material - Rejected materials may be returned for credit or replacement at the Buyer’s option; said return or replacement to be made with the Seller’s concurrence concerning time, mode and place of delivery and at the Seller’s cost and risk.

Tooling - All patterns, molds, tools, dies, jigs, special fixtures, plates and models, furnished or paid for by the Buyer shall be confidential, shall remain the property of the Buyer, shall be maintained properly, shall be used only in the performance of orders from the Buyer and shall be returned immediately upon request.

Drawing/Specification Revision - Please use the latest revision of any applicable specifications unless noted otherwise.

Changes in Drawings, Specifications - Buyer reserves the right to make changes in the drawings and specifications relating to this order. If any such change causes a substantial variation in the cost of furnishing the goods covered hereby, the price of such goods shall be varied in the same ratio. Any claim hereunder shall be asserted promptly.

Laws and Regulations - This order is issued subject to all federal, state, and local laws, and to all orders, rules and regulations under said laws as are hereto applicable; and the Seller covenants to indemnify and save harmless the Buyer from any liabilities, costs and damages which the Buyer may be put to our incur as a result of the Seller’s violation of such laws, orders, rules or regulations.

Price- The Seller represents that the prices for the articles ordered do not and will not exceed the maximum prices established by any applicable maximum price regulation.

Right of Entry - Supplier agrees to allow Right of Entry to Flexco, their customers, and regulatory authorities to all facilities involved in the order and to all applicable records, and requirements for the supplier to flow down to sub-tier suppliers the applicable requirements in the purchasing documents.

Awareness - Supplier shall ensure that persons are aware of their contribution to product or service conformity, contribution to the product safety, and the importance of ethical behavior.

Termination - The Buyer reserves the right to cancel this order at any time and from time to time, in whole or in part upon telegraphic or other written notice to the Seller. Upon receipt thereof the Seller will, as directed by the Buyer, stop work under this order, terminate orders and subcontracts arising under this order, and take any necessary action to protect property in the Seller’s possession in which the Buyer has or may acquire an interest.
In event of such cancellation the Seller shall be entitled to its costs, if any, in connection with the cancelled items and a reasonable profit on such costs to be agreed upon by the parties, deduction to the be made in such cancellation settlement for the value of any cancellation inventory retained by the Seller or disposed of to any party other than the buyer, and the Buyer shall not be liable to the Seller for loss or profits on the uncompleted portion of the order, unless provided otherwise.

Assignability - This order, in whole or in part, shall not be transferred by the Seller to any other party, except upon the prior written consent of the Buyer.
